The acquisition, executed via Horizon Aero Solutions—a 50:50 joint venture between Adani Defence & Aerospace and Prime Aero led by Indamer Technics’ Director Prajay Patel—marks Adani’s significant expansion into India’s rapidly growing aviation MRO sector amid expected fleet growth

Adani Defence & Aerospace, in collaboration with Prime Aero, has signed a definitive agreement to acquire a 100% stake in Indamer Technics Private Limited (ITPL), one of India’s prominent private aircraft maintenance, repair, and overhaul (MRO) service providers. The acquisition will be carried out through Horizon Aero Solutions Limited, a 50:50 joint venture between Adani Defence & Aerospace and Prime Aero, led by Indamer Technics’ Director, Prajay Patel.

The move marks a significant expansion for Adani into India’s fast-growing aviation MRO sector, which is poised to benefit from an expected surge in domestic aircraft fleets.

Strategic expansion in Nagpur’s MIHAN SEZ

ITPL’s facility, located in the MIHAN special economic zone in Nagpur, spans 30 acres and houses 15 aircraft bays within 10 hangars. The modern greenfield site holds approvals from the Directorate General of Civil Aviation (DGCA), the US Federal Aviation Administration (FAA), and other global regulators. Its comprehensive service portfolio includes lease return checks, heavy C-checks, structural repairs, and complete aircraft painting solutions, making it a full-service MRO hub.

Jeet Adani, Director at Adani Airports, highlighted that the acquisition aligns with the projected growth of India’s aviation market, with more than 1,500 new aircraft expected to enter service in the coming years.

Synergies with air works for integrated solutions

Adani Defence & Aerospace plans to leverage synergies between ITPL and its existing aviation asset, Air Works, to offer combined commercial and defence MRO services. This integrated approach is aimed at enhancing operational efficiency, broadening service offerings, and catering to both domestic and international airline operators.

Market sentiment reflected optimism over the deal, with shares of Adani Enterprises closing nearly 5% higher on the BSE on Monday, August 11.
